0. Effective Date, Jurisdiction, and Governing Law
These Terms of Service are effective as of June 2, 2026. Magna Coders is provided by Magna Conscius, operating in Kenya. These Terms are governed by the laws of Kenya. You irrevocably submit to the exclusive jurisdiction of the courts of Kenya for any disputes. By accessing or using Magna, you accept these terms and agree to be bound by Kenya law.
1. Acceptance and Eligibility
By creating an account, accessing the platform, or using Magna features including messaging, AI tools, coins, projects, jobs, and community spaces, you accept these Terms and agree to be bound by them. If you do not agree, do not use Magna. Magna is intended for users aged 13 and above. Users under 18 may use Magna only with parental or guardian consent. By using Magna, you represent that you meet the age requirements and have the legal capacity to enter into this agreement.
2. User Accounts and Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and password. You are solely responsible for all activity that occurs on your account. You agree to notify us immediately of any unauthorized access or use of your account. You may not impersonate another person, create misleading accounts, or access Magna through unauthorized means or automation.
We reserve the right to refuse service, terminate accounts, or suspend access at our sole discretion, particularly for violations of these Terms. Account termination is final, and we are not liable for loss of data upon termination.
3. User Content and Intellectual Property
You retain ownership of the content you create on Magna, including profile information, posts, project details, job listings, messages, and uploaded media. By posting content, you grant Magna a worldwide, royalty-free, perpetual license to host, display, distribute, and process that content for platform operation, discovery, and improvement.
You are responsible for ensuring your content is lawful, accurate, and does not violate the rights of others. Magna owns all platform-level intellectual property including design, software, features, and brand. You may not copy, reverse-engineer, or redistribute any part of Magna without authorization.
Magna may remove or restrict content that is abusive, deceptive, infringing, unsafe, or inconsistent with community standards. Magna is not liable for any user-generated content or third-party content.
4. Messaging, Groups, and Community Conduct
Magna includes direct messaging, groups, collaboration spaces, and community discovery features. You may not use these features for harassment, spam, fraud, unauthorized advertising, phishing, hate speech, discrimination, or illegal activity. You agree to comply with all applicable laws and Magna community standards.
Magna may suspend accounts, restrict features, or remove content if community safety, user privacy, or platform integrity is at risk. Violations may result in permanent termination without refund of any fees or balances.
5. AI Features and Limitations
Magna may offer AI-assisted tools and responses powered by language models and machine learning. AI output may be incomplete, inaccurate, biased, or unsuitable for your needs. You are solely responsible for reviewing AI-generated content before relying on it for professional, legal, financial, hiring, or technical decisions.
Magna does not guarantee the accuracy, completeness, or appropriateness of AI-generated content. AI features are provided as-is without warranty. You may not use Magna AI features to generate unlawful, abusive, deceptive, infringing, or rights-violating content.
Do not rely on AI outputs for sensitive decisions. For critical business, legal, medical, or safety matters, consult qualified professionals.
6. Magna Coins, Rewards, and Wallet Management
Magna Coins, promotional credits, welcome rewards, and other in-platform balances are platform features and do not automatically represent bank money, stored cash value, or guaranteed redeemable value unless Magna explicitly states otherwise in writing.
Promotional balances may be limited, revoked for abuse, expire, or be subject to campaign rules. Magna may correct wallet balances or transaction history where fraud, duplication, system error, or policy violations occur. Magna reserves the right to adjust or cancel promotional campaigns at any time.
Magna Coins cannot be exchanged for real currency unless explicitly authorized. Unused balances may expire according to campaign terms.
7. Third-Party Services and Integrations
Magna integrates with third-party services including Google, GitHub, Firebase Cloud Messaging, job aggregators, and external content sources. Magna is not responsible for third-party content, availability, accuracy, functionality, terms, privacy practices, or support.
When you use Google or GitHub sign-in, those platforms' terms and privacy policies govern your use of their services. When you leave Magna through external links, shared repositories, job applications, or external content, your use of those destinations is governed by their own terms and policies. We are not liable for third-party services.
8. Account Suspension and Termination
Magna may immediately suspend, restrict, or terminate access to accounts that: (a) violate these Terms; (b) harm the platform, users, or Magna's operations; (c) abuse promotions or Magna Coins; (d) misuse automation or bots; (e) create safety, security, or legal risks; (f) engage in fraud or illegal activity. Suspension may occur without notice if immediate action is necessary for safety or security.
You may terminate your account by contacting support. Upon termination, your data will be deleted or retained according to our Privacy Policy and applicable law. Termination does not affect payment obligations or liability for past conduct. Magna may retain records for security, compliance, or legal purposes.
9. Warranties Disclaimer
MAGNA IS PROVIDED 'AS-IS' AND 'AS AVAILABLE' WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT MAGNA WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL CODE.
We do not guarantee the accuracy, completeness, or reliability of any content, AI responses, user profiles, job listings, project details, or information provided through Magna. Use at your own risk.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY KENYAN LAW: (A) MAGNA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR LOST-PROFIT DAMAGES, INCLUDING LOST DATA, LOST REVENUE, OR LOST OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. (B) MAGNA'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO MAGNA IN THE 12 MONTHS PRECEDING THE CLAIM, OR KES 1,000 IF NO PAYMENT WAS MADE.
Some jurisdictions do not allow exclusion of certain damages, so this limitation may not apply fully to you. This clause does not limit liability for fraud, willful misconduct, or violations of law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Magna Conscius, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of Magna; (b) your violation of these Terms; (c) your user-generated content or uploads; (d) your infringement of third-party rights; (e) your conduct on the platform; (f) your misuse of AI features or Magna Coins. This indemnification applies even if the claim arises from our alleged negligence or strict liability.
12. Data Breach Notification
In the event of a confirmed data breach affecting your personal information, Magna will notify you via email and in-app notification without unreasonable delay and in accordance with the Kenya Data Protection Act and applicable laws. The notification will include details of the breach, the types of data affected, measures we are taking to address it, and steps you can take to protect yourself.
You have the right to lodge a complaint with the Office of the Data Protection Commissioner of Kenya if you believe your rights have been violated.
13. Dispute Resolution and Arbitration
These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflicts of laws principles. Any dispute, claim, or controversy arising from or relating to these Terms or Magna shall be exclusively resolved in the competent courts of Kenya.
Before initiating formal legal proceedings, we encourage good-faith negotiation. If a dispute cannot be resolved through negotiation within 30 days, either party may pursue legal remedies available under Kenyan law.
14. Entire Agreement and Severability
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Magna Conscius regarding Magna. These Terms supersede all prior agreements, understandings, and representations. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall remain in full force and effect.
15. Changes to Terms and Service Availability
Magna may update these Terms at any time. We will notify you of material changes by updating the 'Last Updated' date and, if required, by sending you a notification through the app or email. Your continued use of Magna after updates constitutes acceptance of the revised Terms.
Magna reserves the right to modify, suspend, or discontinue any feature or the entire service at any time, for any reason, with or without notice. We make no guarantee that Magna will be available continuously or indefinitely. We are not liable for any modification, suspension, or discontinuation of service.
